Copyright Notice

Unless expressly stated otherwise in writing, all intellectual property rights in and relating to Grey Collective, including all content, designs, materials and digital assets, are the exclusive property of Grey Collective or its licensors and are protected by applicable copyright, trademark, intellectual property and unfair competition laws.

All rights not expressly granted are reserved.

All content created, published or otherwise made available by Grey Collective is protected by copyright.

This includes, without limitation:

• The Grey Collective name;
• The Grey Collective logo;
• Brand identity;
• Brand guidelines;
• Website designs;
• User interface (UI) designs;
• User experience (UX) designs;
• Layouts;
• Page structures;
• Design concepts;
• Graphics;
• Icons;
• Images;
• Animations;
• Typography;
• Colour schemes;
• Written content;
• Source code;
• Software;
• Scripts;
• Databases;
• Documentation;
• Marketing materials;
• Digital assets;
• Creative concepts;
• Artificial intelligence workflows;
• Development methodologies;
• Templates;
• Business systems; and
• Any other original works created by Grey Collective.

All intellectual property rights are reserved.

Without the prior written consent of Grey Collective, no person may:

• copy;
• reproduce;
• duplicate;
• modify;
• adapt;
• reverse engineer;
• translate;
• distribute;
• publish;
• transmit;
• display;
• sell;
• licence;
• commercially exploit;
• repurpose; or
• create derivative works from,

any intellectual property belonging to Grey Collective.

This prohibition applies whether the copying is in whole or in part.

Upon completion of a Project and subject to full payment of all amounts due, the Client receives ownership or the applicable usage rights to the final Deliverables as agreed in writing.

Grey Collective retains ownership of its proprietary intellectual property, including its development methodologies, reusable code libraries, templates, frameworks, internal systems, design systems, automation tools and other proprietary assets used in creating the Deliverables.

No person may copy, reproduce, clone, scrape, imitate, reverse engineer or otherwise appropriate a website, branding, software, designs or other Deliverables created by Grey Collective for a Client without the prior written permission of both Grey Collective and the relevant Client where applicable.

Grey Collective expressly opposes and reserves all legal rights against the unauthorised copying, imitation or theft of websites, branding or other creative works produced for its Clients.

Grey Collective acknowledges that Clients retain ownership of intellectual property supplied by them, including logos, trademarks, branding, photographs, written content and other materials.

The Client warrants that it has all necessary rights, licences and permissions to provide such materials to Grey Collective.

The Client indemnifies Grey Collective against any claim arising from materials supplied by the Client.

The Grey Collective name, logo, branding, slogans and other identifying marks are valuable intellectual property.

Nothing contained in any document or communication grants any licence or right to use Grey Collective’s trade marks without prior written consent.

Unauthorised use of any Grey Collective trade mark may constitute trademark infringement and unfair competition.

Grey Collective actively protects its intellectual property rights.

Where Grey Collective becomes aware of any unauthorised copying, reproduction, imitation, infringement, scraping or misuse of its intellectual property or the intellectual property created for its Clients, Grey Collective reserves the right to take any action available under applicable law, including but not limited to:

• issuing cease and desist demands;
• requiring removal of infringing material;
• reporting infringement to hosting providers, domain registrars, search engines and online platforms;
• issuing Digital Millennium Copyright Act (DMCA) notices or equivalent copyright complaints where applicable;
• commencing civil proceedings;
• seeking injunctive or interdictory relief;
• claiming damages;
• recovering legal costs; and
• pursuing any other remedy available under applicable law.

Failure by Grey Collective to immediately enforce its rights shall not constitute a waiver of those rights.

If you believe that any intellectual property belonging to Grey Collective or created by Grey Collective for one of its Clients has been copied, reproduced or used without authorisation, please notify us in writing.

Your notice should include sufficient information to enable us to investigate the matter, including:

• your full name;
• your contact details;
• details of the alleged infringement;
• the location of the infringing material;
• supporting evidence where available.

All reports will be reviewed and investigated as reasonably practicable.

Grey Collective reserves all copyright, trademark, design, database and other intellectual property rights not expressly granted in writing.

Nothing contained in this Copyright Notice shall be interpreted as granting any licence, assignment or transfer of intellectual property rights unless expressly agreed in writing by Grey Collective.

This Copyright Notice shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.

Where applicable, Grey Collective reserves the right to enforce its intellectual property rights in any jurisdiction in which infringement occurs or where enforcement is otherwise legally permissible.
